Terms of Service

HelixCore Biotech is a brand operated by HelixCore LLC, a Maryland limited liability company with its principal office at 306 W Redwood St STE 201, Baltimore, MD 21201. In these terms, “we,” “us,” or “HelixCore” refers to HelixCore LLC.

1. Eligibility

You must be at least 21 years old and a qualified researcher acting on behalf of a licensed lab or research entity to place an order. By checking the age-gate or completing a purchase you affirm both of these.

2. Products and use

All products sold by HelixCore Biotech are for research use only (RUO). See our RUO Policy for the full disclaimer. By purchasing you accept the obligations outlined there.

3. Orders and pricing

Prices are listed in U.S. dollars and may change without notice. We reserve the right to cancel or refuse any order at our discretion, including for suspected misuse, fraud, or violation of these terms.

4. Shipping and risk of loss

See our Shipping Policy for delivery terms and shipment protection. Risk of loss passes to the buyer once the carrier confirms delivery.

5. All sales final

All sales are final. We do not accept returns or exchanges of any product, opened or unopened, for any reason. See our Returns Policy for the full text. Lost, damaged, or wrong-item shipments are covered separately under our free shipment protection — see Shipping.

6. Intellectual property

All site content, branding, product photography, and copy is the property of HelixCore Biotech. You may not reproduce or republish without written permission.

7. Disclaimer of warranties

PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELIXCORE LLC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. Our products are intended exclusively for laboratory research use as described in our RUO Policy. We make no representation that any product is suitable for any application other than the research applications described in that product's listing.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HELIXCORE LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Without limiting the foregoing, HelixCore is not liable for any damages arising from misuse of products, including any administration to humans or animals. OUR MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless HelixCore LLC and its officers, members, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use, storage, handling, resale, or disposal of any product; (b) your breach of these terms or the RUO Policy; (c) any administration of a product to a human or animal, whether by you or by any third party who obtained the product through you; or (d) your violation of any applicable federal, state, or local law.

10. Dispute resolution; arbitration; class action waiver

Please read this section carefully. It affects your legal rights.

Governing law. These terms are governed by the laws of the State of Maryland and the United States, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

Informal resolution first. Before initiating any arbitration or court proceeding, you agree to send a written notice of the dispute to support@helixcorebio.store describing the claim and the relief sought, and to negotiate in good faith for at least 60 days.

Binding arbitration.Any dispute, claim, or controversy arising out of or relating to these terms or your purchase that is not resolved through informal resolution will be settled by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in Baltimore, Maryland (or remotely at the arbitrator's discretion). Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND HELIXCORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative proceeding.

Carve-outs.Notwithstanding the above, either party may (a) bring an individual action in small-claims court for claims within that court's jurisdiction, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the products.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@helixcorebio.store with the subject “Arbitration Opt-Out” within 30 days of your first purchase. Opting out does not affect any other provision of these terms.

Court of last resort. If the arbitration provision is found unenforceable, disputes will be resolved exclusively in the state or federal courts located in Baltimore, Maryland, and you and HelixCore each consent to personal jurisdiction and venue there.

11. Force majeure

HelixCore will not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government action, war, terrorism, civil disturbance, labor disputes, carrier failures, supply-chain disruptions, power or telecommunications failures, or material shortages.

12. General provisions

Entire agreement. These terms, together with the RUO Policy, Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and HelixCore regarding the subject matter and supersede all prior understandings.

Severability. If any provision of these terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these terms or your rights under them. HelixCore may assign these terms in connection with a merger, acquisition, sale of assets, or by operation of law.

No agency. Nothing in these terms creates any partnership, joint venture, employment, or agency relationship between you and HelixCore.

13. Changes

We may update these terms from time to time. Continued use of the site after an update constitutes acceptance of the new terms.
